Liability and Indemnification Terms

LIABILITY AND INDEMNIFICATION: Client shall indemnify and hold harmless Pierce College, its trustees, officers, and employees from and against all claims, liability, loss, and expenses including reasonable costs, collection expenses and attorney's fees incurred, from any claim, suit or proceeding arising out of the use of the facility by the Client, its licensees, invitees, guests, and patrons.

This clause shall survive the termination of this Agreement. Pierce College assumes no responsibility to the Client for consequences of any act or omission of any third party. The Client is responsible for damages incurred by third parties (including invitees, licensees, guests, employees, and members of the Client) during their possession of the premises. Pierce College assumes no liability for damage or loss of individual property or equipment left in any rental space during or after the event. The Client assumes full responsibility for the conduct of its invitees, licensees, guests, patrons, members, employees, or third parties hired to provide services for the Client.

Client agrees to exercise the utmost care in the use of the college premises and property and shall indemnify and hold Pierce College and its agents, employees, and officers harmless from and shall process and defend at its own expense any and all claims, demands, suits at law or equity, actions, penalties, losses, damages or costs of whatsoever kind of nature, brought against Pierce College or the State of Washington arising out of, in connection with, or incident to the use of said premises or property and/or the clients performance of failure to perform any aspect of this agreement, except however that nothing herein shall require the client to hold harmless and defend the State and Pierce College and its agents, employees, and officers for any liability, loss, claim, demands, or suit arising from the sole negligence of the State, their agents, employees, and officers.
